TheNC reviewsandmakes recommendationson the trainingandprofessional development program
to theBoard.TheBoardwas apprisedof the trainingprogrammes attendedby theDirectors in2016.

Board Independence
TheBoardhassevenDirectorscomprising three IndependentDirectors, twoNon-ExecutiveDirectors
and twoExecutiveDirectors.TheDirectors as at thedateof this report are listedas follows:
Withmore thanone-thirdof theBoardcomprisingofIndependentDirectors, thisprovidesforobjective
and independent judgment by theBoard on the corporate affairs of theCompany. No individual or
small groupof individualsdominates theBoard’sdecision-makingprocess.
MrLimHoSenghasserved formore thannineyearson theBoard.MrLimwas re-designated from
an IndependentDirector to aNon-ExecutiveDirectorwith effect from1 January2014, solelyon
account of himhaving served formore thannineyears on theBoard.TheBoard isof theview that
MrLimcontinues toexercise independent judgment in thebest interest of theCompany.
TheNChasgivendueconsiderationtoGuideline2.2oftheCodewhichstatesthatwheretheChairmanof
theBoard isnotanIndependentDirector,at leasthalfof theBoardcompositionshouldbe independentat
theannualgeneralmeeting following theendoffinancialyearcommencingonorafter1May2016.
